These Terms & Conditions (“Terms”) govern your access to and use of the website www.sauryaveda.com (“Website” or “Platform”), and any EPC (Engineering, Procurement & Construction), installation, maintenance, or advisory services provided by SauryaVeda Energy Private Limited (CIN: U43222DL2026PTC467980), a company incorporated under the laws of India with its registered office at Plot No. 8, Gupta Farms, Rajpur Khurd Extension, Chhatarpur, New Delhi – 110068 (“SauryaVeda,” “we,” “us,” or “our”).
By accessing or using the Website, requesting a quote, using our Solar Calculator or Savings Estimator, engaging us for EPC or installation services, or otherwise engaging with our services, you (“Customer,” “User,” “you”) agree to be bound by these Terms. Where SauryaVeda and you sign a separate, formal EPC/installation agreement or work order for a specific project, the terms of that signed agreement will govern that project in case of any conflict with these Terms.
1. Who We Are and What We Do
SauryaVeda is a renewable energy company that helps residential, SME, commercial, and industrial customers evaluate, finance, and install solar and clean energy systems. SauryaVeda operates through two standing, parallel models, and which one applies to your project will be clearly stated in your quotation:
- As an EPC contractor, SauryaVeda directly undertakes the engineering, procurement, and construction (design, supply of equipment, installation, testing, and commissioning) of solar power systems for customers, under a project-specific work order or EPC agreement; and
- As a platform, SauryaVeda provides informational content, tools (Solar Calculator, Savings Estimator), and quotations, and connects you with vetted third-party installers, EPC companies, financiers, and other service providers (“Partners”) from its network, so you can choose the option that best fits your project.
You may be offered a direct SauryaVeda EPC quotation, a Partner quotation, or both, depending on your project and location. Every quotation or proposal we issue will state whether SauryaVeda is executing the project directly as EPC contractor or facilitating it through a Partner. Where a Partner performs the work, that engagement is a separate contract between you and the Partner, governed by the Partner’s own terms in addition to these Terms.
2. Eligibility and Customer Information
You must be at least 18 years old and legally capable of entering into a binding contract to use this Website or engage our services. When you submit an enquiry, request a quote, or sign a work order, you agree to provide accurate, current, and complete information about your site, ownership/authorization to install, electricity connection, and load requirements. You are responsible for the accuracy of this information, which SauryaVeda relies on for design, quotation, and statutory filings.
3. Consent to Communication
By submitting your contact details on this Website (including through “Get Free Quote,” Solar Calculator, Savings Estimator, or any enquiry form), you expressly consent to being contacted by SauryaVeda, its representatives, and authorized Partners via phone call, SMS, WhatsApp, email, or other messaging channels, for quotes, product information, service updates, and relevant promotional communication — even if your number is registered under NDNC/DND or similar preference registries — to the extent permitted under applicable Indian telecom regulations (TRAI). You may withdraw this consent at any time by writing to info@sauryaveda.com; we will honor opt-out requests within a reasonable time as required by law.
4. Quotes, Calculators, and Estimates
The Solar Calculator, Savings Estimator, and any pricing or savings figures shown on the Website are indicative estimates only, generated from the information you provide and general assumptions (tariff rates, sunlight hours, average consumption, subsidy eligibility, etc.). They do not constitute a binding offer, guaranteed savings, or final price. Actual system size, cost, savings, subsidy eligibility, and feasibility are confirmed only after a formal site survey/technical assessment and are set out in a written quotation or EPC agreement. SauryaVeda is not liable for variance between estimated and actual figures.
5. EPC Services — Scope of Work
Where SauryaVeda is engaged as the EPC contractor for a project, our scope, unless otherwise stated in the specific work order, includes: system design and engineering; procurement of solar panels, inverters, mounting structures, and balance-of-system components; installation; electrical wiring and safety compliance; testing and commissioning; and assistance with net-metering/subsidy application paperwork. Any scope not expressly included in the written quotation or work order (for example, civil/structural reinforcement, roof waterproofing, shadow-free area beyond what was assessed, or upgrades to your existing electrical panel) is excluded unless separately agreed and priced.
6. Site Conditions, Permissions, and Customer Responsibilities
You are responsible for: (a) ensuring you have legal ownership or authorization (e.g., landlord/society NOC) to install a solar system at the site; (b) providing safe and reasonable site access for survey, installation, and future maintenance; (c) ensuring the roof/structure is structurally sound to bear the system load — SauryaVeda’s structural assessment is based on visual/standard survey and not a substitute for a certified structural audit where your site warrants one; and (d) timely cooperation with DISCOM/net-metering documentation that requires your signature or ownership proof. Delays caused by incomplete site access, missing approvals/NOCs, or inaccurate site information provided by you may extend project timelines and are not attributable to SauryaVeda.
7. Payment Terms and Milestones
Unless your specific quotation or EPC agreement states otherwise, payment for EPC/installation projects executed directly by SauryaVeda is structured as follows: 60% of the contract value as an advance/booking amount on order confirmation, 30% on dispatch/delivery of material to site, and the final 10% on successful installation, testing, and commissioning. Advance/booking payments are generally non-refundable once procurement or site mobilization has commenced, except where required by law or expressly agreed in writing. Delayed payment against agreed milestones may pause project work until payment is received, without SauryaVeda being liable for resulting delay.
8. Warranty
SauryaVeda provides a 5-year workmanship warranty on its own installation work (for projects where SauryaVeda is the direct EPC contractor), covering defects arising from faulty installation, subject to normal wear, proper usage, and no unauthorized modification by you or a third party. This is separate from, and in addition to, equipment/product warranties provided directly by the original equipment manufacturer (OEM) — typically a performance warranty on solar modules (commonly around 25–30 years, linear performance) and a shorter product warranty on inverters (commonly 5–10 years) — which SauryaVeda will help you claim but does not itself underwrite.
9. Change Orders and Variations
If, after the initial site survey, actual site conditions require additional work, materials, or a change in system design (for example, roof reinforcement, cabling beyond the assessed distance, or a change in sanctioned load), SauryaVeda will inform you of the required variation and its additional cost before proceeding. Such variations will only be carried out with your written (including email/WhatsApp) approval and will be billed separately from the original quotation.
10. Government Subsidies and Incentives
Any reference to government subsidies, incentive schemes, or net-metering benefits on this Website is for general informational purposes based on publicly available scheme details at the time of publishing. Subsidy eligibility, amount, and disbursement are determined solely by the relevant government authority/DISCOM and are subject to change without notice. SauryaVeda will assist with the application process where included in your scope of work but does not guarantee subsidy approval, amount, or disbursement timeline, as these rest with the government authority.
11. Third-Party Partners and Service Providers
As part of its platform offering, SauryaVeda maintains a network of independent third-party Partners — including installers, other EPC companies, financiers/NBFCs, insurers, and equipment manufacturers — that you may be connected with alongside, or instead of, a direct SauryaVeda EPC quotation. Your quotation will indicate whether a given proposal is from SauryaVeda directly or from a Partner. Where a Partner is involved, SauryaVeda:
- Takes reasonable care in selecting Partners but does not guarantee their workmanship, timelines, or conduct beyond what is contractually agreed with SauryaVeda;
- Is not responsible for equipment warranties, which are provided directly by the OEM, except where SauryaVeda separately and expressly assumes such responsibility in a signed agreement; and
- Encourages you to review any Partner’s or financier’s own terms, warranty documents, and loan agreements carefully before signing.
12. Intellectual Property
All content on this Website — including the SauryaVeda name, logo, design, graphics, text, tools, calculators, and underlying software — is the property of SauryaVeda Energy Private Limited or its licensors and is protected under applicable Indian intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of this Website without our prior written consent, except for personal, non-commercial reference.
13. Acceptable Use
You agree not to: (a) use the Website for any unlawful purpose; (b) submit false, misleading, or fraudulent information; (c) attempt to gain unauthorized access to our systems or data; (d) interfere with the Website’s normal operation (including through malware, scraping, or automated bots); or (e) use content from this Website to build a competing product or service without authorization.
14. Limitation of Liability
To the maximum extent permitted under applicable law, SauryaVeda shall not be liable for any indirect, incidental, consequential, or special damages (including loss of expected energy savings) arising from your use of the Website or reliance on any estimate, calculator output, or informational content provided here. For EPC/installation services performed directly by SauryaVeda, our total liability for any claim arising from that project shall not exceed the total contract value paid by you for that specific project, except for liability arising from fraud, willful misconduct, or gross negligence, which shall not be capped, and except for liability that cannot be excluded under Indian law.
15. Indemnification
You agree to indemnify and hold harmless SauryaVeda, its directors, employees, and Partners from any claims, losses, or damages arising from your breach of these Terms, misuse of the Website, provision of inaccurate site/ownership information, or unauthorized modification of an installed system by you or a third party.
16. Force Majeure
SauryaVeda shall not be held responsible for any delay or failure in performance — including installation timelines — resulting from causes beyond its reasonable control, including natural disasters, government action, supply chain disruption, labor disputes, DISCOM/regulatory delays, or other events of force majeure.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The updated Terms will be posted on this page with a revised “Last updated” date. Continued use of the Website after changes are posted constitutes your acceptance of the revised Terms. Terms specific to an already-signed EPC agreement will not be changed retroactively by an update to this page.
18. Governing Law and Jurisdiction
These Terms, and any EPC or service agreement entered into with SauryaVeda unless it states otherwise, are governed by the laws of India. Subject to Clause 19, the courts at New Delhi shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or your engagement with SauryaVeda.
19. Dispute Resolution
In the event of any dispute, both parties agree to first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice. If unresolved, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement, seated in New Delhi, and conducted in English.
20. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
